1. Acceptance and scope
By accessing or using Cadanza, you agree to these terms and the Privacy Policy. If you use Cadanza for a business, you confirm that you have authority to bind it. Specific terms for an offer, implementation, or subscription supplement these terms; where they conflict, the accepted specific terms prevail for the matter they address.
2. Eligibility and business responsibilities
Cadanza is intended for professional use. The client business decides who may use the service, assigns roles and permissions, provides required notices or obtains required consents from its staff, and remains responsible for complying with employment, tax, payroll, and privacy laws that apply to its activities.
3. Accounts, roles, and security
Account information must be accurate and current. Each user must protect their credentials, kiosk PIN, and devices and must not share personal access. The business is responsible for actions taken through its authorized accounts. Suspected access, employee departures, and role changes must be promptly reported or corrected in Cadanza.
4. Right to use and service changes
Subject to these terms, Cadanza grants a limited, non-exclusive, non-transferable, revocable right to use the service for the business’s internal activities. Features, platforms, or mobile applications may be introduced gradually, changed, or withdrawn. No right is granted in Cadanza source code, trademarks, or proprietary materials.
5. Business data
The business retains its rights in schedules, employee records, timesheets, documents, messages, and other content it provides. It authorizes Cadanza to host, process, back up, and transmit that content only as needed to deliver, secure, support, and improve the requested services. The business confirms that it has the rights and authorizations required to provide this data to us.
6. Third-party services and integrations
Cadanza may offer optional connections to QuickBooks Online and other payroll, billing, or payment services. When enabled, Cadanza exchanges only authorized and necessary data, such as employees, service items, mappings, and time activities. Third-party terms and policies continue to apply, and availability may depend on the provider, its approvals, and its interfaces. An integration does not imply sponsorship or mutual endorsement. QuickBooks and Intuit are trademarks of their respective owners.
7. Scheduling, time, and payroll
Cadanza helps prepare schedules, approve time, and export data. It does not replace employer review and is not a legal, tax, accounting, or payroll-processing service. Before publishing a schedule, running payroll, or transmitting data, the business must verify employees, periods, regular and overtime hours, breaks, tips, rates, deductions, and applicable rules.
8. Acceptable use
You may not use Cadanza for unlawful, fraudulent, discriminatory, or harmful purposes; upload malicious code; bypass access controls or service limits; access another organization’s data; conduct security testing without written authorization; resell the service without an agreement; or infringe the rights of others.
9. Subscriptions, pricing, and payments
Until subscriptions officially open, a demo or implementation request is not a purchase. Public prices are set in Canadian dollars before tax, and each plan has the displayed monthly minimum. The billed total is the higher of this minimum and the tiered calculation. Conversions to another currency are indicative; the CAD amount prevails. Pricing tiers are marginal: each employee band is calculated at its own rate, and teams of 150 or more receive a custom offer. Annual billing receives the displayed 10% discount when selected. Before any charge, Cadanza will present the plan, seat count, total price, taxes, renewal terms, payment method, and cancellation or refund rules. Adding an authorized seat, kiosk, or service may adjust the current period; a seat reduction or plan downgrade takes effect at the next renewal. Cadanza may revise its rates to reflect changes to the service, its features, or its costs. Any rate change will be communicated in writing at least 60 days before it takes effect and will never apply retroactively. For a monthly subscription, the new rate will apply no earlier than a billing cycle after the notice period; the business may reject the increase and cancel without penalty before it takes effect. For a paid annual subscription, the applicable unit rates and pricing tiers are guaranteed for the current annual term; a new rate may apply only at renewal following notice. This guarantee does not prevent the total from changing because of authorized additions, taxes, or usage-based items. Mandatory rights under applicable law remain unaffected.
10. Kiosks and devices
Cadanza permits no more than one self-managed personal tablet per business for the time-clock kiosk, subject to compatibility and the selected offer. The business is responsible for that device’s physical security, lock settings, updates, network, and configuration and must promptly notify Cadanza if it is lost, stolen, or subject to suspicious access. Cadanza remains responsible for the security of its service and information under its control, but provides no hardware warranty or hardware support for a personal tablet and does not guarantee operation on an obsolete, modified, unsecured, or unsupported device. The business must inform employees when location, photo, or validation features are enabled. These terms do not limit mandatory warranties applicable to a device sold by Cadanza.
11. Intellectual property and feedback
Cadanza and its licensors retain all rights in the service, interface, software, text, visuals, and trademarks. You may not copy, disassemble, or exploit them beyond permissions granted by law or in writing. If you provide a suggestion, you allow us to use it without obligation while retaining your rights in your information and confidential content.
12. Suspension, termination, and data
Cadanza may limit or suspend access to protect the service, meet a legal obligation, prevent harm, or address a material breach. Where reasonably possible, the business will be notified and allowed to correct the issue. When a subscription ends, access and integrations may stop. The business should export needed data before closure and may contact us promptly about available options, subject to retention periods and applicable obligations.
13. Availability, warranties, and liability
Cadanza uses reasonable efforts to provide a reliable and secure service but does not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, Cadanza is not responsible for management decisions, payroll errors, or indirect losses caused by inaccurate data, misconfiguration, a third-party service, or the business’s failure to verify information. Nothing in these terms limits a statutory warranty, mandatory remedy, or liability that cannot legally be excluded.
14. Governing law and changes
These terms are governed by the laws applicable in Quebec and Canada, without depriving anyone of mandatory legal protections. Disputes will be submitted to the competent courts of Quebec where permitted by law. Cadanza may update these terms to reflect the service or legal requirements. Material changes will be announced reasonably before they take effect.
